1. Purpose
This Agreement sets out the terms under which nji.io and Partner will collaborate to deliver
workshop/training/labsetup/project

3. Roles and Responsibilities
nji.io will:
- Provide instructors, curriculum, and training materials.
- Supply or advise on hardware and software as agreed.
- Manage scheduling and learner assessment.
Partner will:
- Provide venue, local coordination, and participant recruitment.
- Ensure local compliance and safety for onsite activities.
- Provide any agreed co‑funding or in‑kind support.

5. Intellectual Property
- Pre‑existing IP: Each party retains ownership of its pre‑existing IP.
- Project IP: Materials created specifically for the project are owned by
nji.io/Partner/jointownership
- License: Grant a non‑exclusive license for educational use as needed.
6. Data Protection and Privacy
- Parties will comply with applicable data protection laws including GDPR.
- Personal data processing will follow the Data Processing Agreement between the parties.
- Any transfer of personal data outside the EU will use appropriate safeguards (SCCs or equivalent).
7. Confidentiality
Each party will keep confidential information secure and not disclose it except as required by law.
Confidentiality survives termination for
two years.
8. Liability and Indemnity
Each party is liable for its own negligence.
Liability caps:

Mutual indemnities for third‑party claims arising from breach or negligence.
9. Term and Termination

Disputes resolved by negotiation, then arbitration in city if unresolved.
13. Miscellaneous
- Entire Agreement clause; amendments must be in writing.
- Assignment only with prior consent.
- Force majeure clause for events beyond control.
